Please read these Terms of Service carefully before using FFL Stack. These Terms constitute a legally binding agreement between you and FFL Stack governing your access to and use of the Service.
1. Acceptance of Terms
By accessing or using the FFL Stack platform and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.
2. Description of Service
FFL Stack provides an e-commerce platform specifically designed for federally licensed firearms dealers (FFLs). The Service includes storefront hosting, distributor integration tools, inventory management, automated pricing features, and related software-as-a-service offerings. FFL Stack reserves the right to modify, suspend, or discontinue the Service at any time with reasonable notice.
3. Eligibility and Compliance
To use FFL Stack, you must (a) be at least 18 years of age; (b) hold a valid Federal Firearms License (FFL) issued by the Bureau of Alcohol, Tobacco, Firearms and Explosives (ATF), or be acting on behalf of an entity that holds such a license; and (c) comply with all applicable federal, state, and local laws governing the sale and transfer of firearms. You are solely responsible for maintaining your FFL in good standing and for ensuring your use of the Service complies with all applicable firearms regulations. FFL Stack does not provide legal compliance advice.
4. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify FFL Stack immediately at security@fflstack.com if you suspect any unauthorized use of your account. FFL Stack will not be liable for any loss or damage arising from your failure to maintain account security.
5. Payments and Billing
FFL Stack charges subscription fees as described on the Pricing page. All fees are in US dollars and are non-refundable except as required by law or as expressly stated in these Terms. Subscriptions renew automatically unless cancelled before the renewal date. FFL Stack reserves the right to change pricing with 30 days notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
6. Acceptable Use
You agree not to use the Service to: (a) sell firearms, accessories, or related items that are illegal under applicable law; (b) engage in any transaction that would violate federal, state, or local firearms regulations; (c) upload or transmit malicious code, viruses, or harmful software; (d) impersonate any person or entity; (e) collect or harvest personal information without consent; or (f) interfere with or disrupt the Service or servers connected to the Service. FFL Stack reserves the right to terminate accounts that violate this Acceptable Use policy.
7. Intellectual Property
FFL Stack and its licensors retain all intellectual property rights in the Service, including software, design, trademarks, and content. You retain ownership of content you upload to the Service, including product descriptions, images, and store content. By uploading content, you grant FFL Stack a limited, non-exclusive license to use that content as necessary to operate and improve the Service.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.
9. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. FFL STACK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FFL STACK'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL FFL STACK BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
10. Indemnification
You agree to indemnify and hold harmless FFL Stack, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
Either party may terminate these Terms at any time. Upon termination, your right to use the Service will immediately cease. FFL Stack may terminate or suspend your access without notice if you violate these Terms, fail to pay applicable fees, or if required by law. Following termination, FFL Stack will retain your data for 30 days to allow export, after which it may be deleted.
12. Governing Law
These Terms are governed by the laws of the United States and the state in which FFL Stack operates, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.
13. Changes to Terms
FFL Stack reserves the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice in the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
